SchoolPal Terms of Use

  1. Introduction

These Terms of Use (“Terms”) govern your access to and use of the SchoolPal service, website, and mobile applications (collectively, the “Service”). The Service is operated by SchoolPal Co. Limited (“SchoolPal,” “we,” “our,” or “us”). By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

  1. Description of Service

SchoolPal provides an online platform that allows schools, teachers, students, and parents to communicate and collaborate. Key features of the Service include class forums, assignment tracking, attendance records, scheduling tools, and parent access. The Service is provided for general informational and educational purposes only.

  1. Eligibility to Use the Service

You must be at least 18 years old to use the Service. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms. By using the Service, you represent and warrant that: (a) you are at least 18 years old; (b) you have not been previously suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations. Accounts registered by bots or other automated methods are not permitted.

  1. User Accounts

To access certain features of the Service, you must register for an account. When you register for an account, you agree to provide accurate and complete information about yourself, and to promptly update any information provided so that it remains accurate and complete. Each account may only be used by one designated user. You are responsible for all activities that occur under your account. You may not share your account password or lend your account to anyone else. You are solely responsible and liable for maintaining the confidentiality and security of your password and account.

  1. Privacy Policy

Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you. You acknowledge and agree that you have read and understood our Privacy Policy.

  1. User Content

The Service allows you to post content, including messages, text, photos, videos, and other materials (“User Content”). You retain full ownership of your User Content. However, by submitting User Content, you grant us a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit your User Content for any purpose, in any form, medium or technology now known or later developed, without attribution or compensation to you.

  1. Acceptable Use Policy

You agree not to misuse the Service or assist anyone else in doing so. This includes, but is not limited to: (a) posting, transmitting, promoting, or distributing any unlawful, harassing, libelous, defamatory, threatening, harmful, vulgar, obscene, racist, fraudulent, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable material of any kind; (b) posting or transmitting any material that infringes or violates any copyright, trademark, patent, trade secret, moral right, or other intellectual property or proprietary right; (c) uploading or distributing viruses, worms, corrupted files, hoaxes, or other items of a destructive or deceptive nature; (d) interfering with the operation of the Service or impairing the Service for other users; (e) disrupting, overloading, or making impractical the operation of the Service; (f) promoting or advertising third party products or services; (g) impersonating another person or otherwise misrepresenting your affiliation with a third party; (h) accessing the accounts of others without permission. We reserve the right to remove or block any content that we determine violates these Terms. You agree to cooperate fully and provide any assistance necessary to investigate violations.

  1. Service Availability

We strive to keep the Service operational 24 hours a day, 7 days a week, except for: (a) planned downtime for maintenance; and (b) any unavailability due to circumstances beyond our reasonable control.

  1. Third Party Services

The Service may contain links to or integrations with third party websites, apps, or services (“Third Party Services”). We do not control or endorse any Third Party Services. You agree that we are not responsible or liable for the content, accuracy, legality, decency, or any other aspect of Third Party Services. Your use of Third Party Services is at your own risk and subject to the terms and conditions of the Third Party Services.

  1. Modification of these Terms

We reserve the right to modify these Terms at any time by posting the revised Terms on the Service. Your continued use of the Service constitutes acceptance of the revised Terms. You are expected to check this page periodically so you are aware of any changes.

  1. Termination of Access

We may suspend or terminate your right to access or use the Service at any time for any reason, including for violation of these Terms.

  1. Disclaimers and Limitation of Liability

THE SERVICE AND ALL MATERIALS, INFORMATION, PRODUCTS AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, FREEDOM FROM COMPUTER VIRUS, AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT WILL SchoolPal Co. Limited BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE. TO THE EXTENT PERMITTED BY LAW, THE MAXIMUM LIABILITY OF SchoolPal Co. Limited FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF (A) THE TOTAL FEES PAID OR PAYABLE BY YOU FOR USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

  1. Governing Law

These Terms are governed by the laws of the Republic of Uganda without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Uganda, and you irrevocably consent to personal jurisdiction in these courts.

  1. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect and an enforceable term will be substituted reflecting our intent as closely as possible.

  1. Additional Terms

Additional terms may apply to certain features, functionality, or promotions offered through the Service. Any such additional terms will be disclosed in connection with the applicable feature, functionality or promotion.

  1. Entire Agreement

These Terms constitute the entire agreement between you and SchoolPal regarding your access to and use of the Service. Our failure to exercise or enforce any rights under these Terms does not constitute a waiver of those rights.
